Sales Partner Terms

1. The arrangement

These terms are between you (the “Partner”) and [Legal name of company / proprietor] (“TALLISFY”). They apply once we accept you as a sales partner and give you a partner code.

The Terms of Use and Privacy Policy also apply to your partner account. If there is a written partner agreement signed by both sides, it applies where it differs from these terms.

You are an independent business, not our employee, agent or franchisee. You may not sign contracts or accept money on our behalf unless we allow it in writing.

2. Which businesses count as yours

• A business counts as yours when it signs up with your partner link, or uses your partner coupon when paying.
• If a business signed up with one partner’s link but pays with a different partner’s coupon, the coupon’s partner gets the business.
• The link is locked when the business’s first paid plan is approved. After that it is never moved to another partner without a written reason, which is recorded.
• We may correct a link that was made by mistake, or by fraud or self-referral. We record the reason and tell you.

3. Commission

• Rate. The rate agreed with you is shown in your partner dashboard. A change of rate applies only to new commissions, never to ones already earned. We will tell you at least 30 days before a lower rate applies.
• What it is worked out on. The plan price the business actually paid, excluding GST, after any coupon discount, and after any payment gateway or bank charge on that payment.
• When it is earned. When we approve the business’s paid plan. Free plans, trials and free access earn nothing.
• Renewals. Your dashboard shows your renewal rule. It is one of:
  • every renewal earns;
  • only the first paid plan earns;
  • a set number of renewals earns.
• Refunds. If we refund a business’s payment, the commission on it is reversed in the same proportion. If it was already paid to you, the reversal is set off against your next payouts.
• Every commission entry keeps the figures used at that moment, so you can check it in your statement.

4. Payouts

• Commission earned in a month is paid by the 10th of the next month, by UPI or bank transfer to the details you give us. All amounts payable at that time are settled together.
• Income tax (TDS). We deduct TDS under section 194H of the Income-tax Act, at the rate in force, once your commission in the financial year crosses the limit set by law. We deposit it and give you a TDS certificate.
  • You must give us your PAN.
  • Without a PAN, the law requires a higher rate.
• GST. If you are registered under GST, send us a tax invoice for your commission. We pay the GST on top, once your invoice appears in our GSTR-2B. If you are not registered, no GST is added.
• Other deductions, such as an advance being recovered, are shown with their reason in your statement.
• You can see your earnings, payouts and statement in your partner dashboard at any time. If you think something is wrong, tell us within 60 days of the payout.

5. How you must work

• Describe TALLISFY honestly. Do not promise features, prices, discounts or results that we do not offer.
• Never collect a customer’s payment, password, PIN or OTP. Customers pay TALLISFY directly, using the details shown in the app.
• Do not send spam. Follow the telecom regulator’s (TRAI’s) rules for calls and messages, and get consent before sending people promotions.
• Handle any personal data of leads lawfully, under the DPDP Act, 2023. Keep confidential anything you learn about TALLISFY or its customers.
• Use the TALLISFY name and logo only as we allow. Do not register domain names, social media pages or ads that look like they are TALLISFY’s own.
• Do not refer yourself or businesses you own to earn commission, unless we agree in writing.

6. What you can see

Your partner dashboard shows, for each business linked to you:

• its name;
• its plan and payment amounts;
• your commission on it.

You cannot see a business’s books, customers or other data. That data belongs to the business and is protected by our Privacy Policy.

7. Ending the arrangement

• Either side may end the arrangement with 15 days’ written notice, by email.
• We may end it at once, and hold unpaid commission while we look into it, for fraud, self-referral, misleading customers, collecting customer money or passwords, or another serious breach.
• After it ends:
  • commission already earned is paid on the normal payout date, less any reversals and lawful deductions;
  • no new commission is earned;
  • your partner link and coupons stop working.

8. Liability and law

• Our total liability to you under these terms is limited to the commission paid or payable to you in the 12 months before the claim. This limit does not apply to our fraud or gross negligence.
• You will make good any loss we suffer from your breach of these terms. This includes complaints or penalties caused by your messages to customers.
• These terms are governed by the laws of India. The courts at [City, State] have jurisdiction.
