DRAFT. Text marked like [this] must be filled in before these terms are published.
The short version
- TALLISFY is a tool for keeping your accounts, bills, GST figures and stock. You stay responsible for your books and your tax filings. Check the figures before you file.
- Your data is yours. You can download it at any time, and you can delete your account at any time.
- Paid plans do not renew automatically. You pay for one period at a time, and GST is added to the price.
- Do not use TALLISFY for anything illegal, such as fake bills.
- These terms are governed by Indian law. Your rights as a consumer are not reduced by them.
1. About these terms
These Terms of Use are an agreement between you and [Legal name of company / proprietor], [registered address] (“TALLISFY”, “we”, “us”). They cover your use of:
- the TALLISFY web app, including the version you can install;
- the TALLISFY Android app;
- the website [www.tallisfy.com].
Together we call these the “Services”.
These terms are an electronic record under the Information Technology Act, 2000, and need no physical signature. You accept them when you tick “I agree” at sign-up, or when you use the Services.
The following also form part of these terms:
- Privacy Policy
- Refund & Cancellation Policy
- Service Delivery Policy
- Sales Partner Terms (for partners only)
If you use the Services for a business, you accept these terms for that business and confirm you are allowed to do so.
2. Who can use TALLISFY
You must be at least 18 years old and able to enter into a contract under the Indian Contract Act, 1872. The Services are meant for keeping the accounts of a business, profession or household.
3. Your account
- Give true and complete details, and keep them up to date. This includes your name, email, mobile, business name, state and GSTIN.
- Keep your password, PIN and devices safe. Anything done with your sign-in is treated as done by you. Tell us at once if you think someone else has used your account.
- Each person needs their own sign-in. The owner of a business can add staff and decide what each one may see and do. The owner is responsible for what their staff do in the business’s books.
- Each device that adds entries gets a letter (A, B…). That letter becomes part of the bill numbers made on that device, so offline devices never make the same number.
4. How the Services work
- Offline first. Your entries are saved on your device first and sent to our server when there is internet. Entries that have not been sent yet live only on that device. If the device is lost, reset, or its app data is cleared before they are sent, those entries are lost. Keep your devices online from time to time, and keep backups.
- Plan limits. Each plan has limits shown in the app, such as the number of users, godowns and bills per month.
- Changes. We keep improving TALLISFY, so features may be added, changed or removed. We will not take away a main feature of a plan you have already paid for, during the period you paid for, without giving you a fair alternative or a pro-rata refund.
- Optional features such as bill scanning (OCR) or voice entry may depend on your device or browser, and some are paid add-ons. The Privacy Policy explains what each one does with your data.
5. Plans, prices and payment
- Free plan. The Free plan, if offered, has the limits shown in the app. We may change or end the Free plan with 30 days’ notice. You will always be able to download your data.
- Price. The price of a paid plan is the one shown in the app when you pay. GST is added on top, and the app shows the full amount, with tax, before you pay.
- Price changes. We may change prices. A change never affects a period you have already paid for. We will tell you at least 30 days before a new price applies to your next payment.
- How to pay. You pay by UPI or bank transfer to the account shown in the app, then send us the payment reference. We check the payment and switch on the plan, as described in the Service Delivery Policy.
- Pay only to the payment details shown inside the TALLISFY app or on our website.
- We will never ask you to pay into a personal account through a call or message.
- No automatic renewal. We do not take money from your account automatically. Each period is paid separately. The app reminds you before your plan ends.
- Coupons. Coupons and partner offers apply only as stated on them. They cannot be exchanged for cash.
- Trial and free access. Free trials or free access may be given at our discretion, for the period we tell you.
- Tax invoice. We issue a GST tax invoice for every payment. If you give your GSTIN before paying, the invoice will carry it, so you may claim input tax credit as the law allows.
6. Cancellation, refunds and plan expiry
- You can stop at any time by simply not renewing. You can also delete your account.
- Refunds follow the Refund & Cancellation Policy. It includes a full refund within 7 days of your first paid plan.
- When a plan ends without renewal:
- new entries and syncing stop for that business;
- Settings stays open, so you can still download a backup and Excel copy of your books;
- your data stays on our server, and renewing brings everything back.
7. Your data
- You own your data. This includes your books, your customers’ and suppliers’ details, and your files. We claim no ownership of it.
- You allow us to store, copy, process and show your data only as needed to provide the Services to you. That includes backups, syncing between your devices, and making the reports and documents you ask for.
- For personal data of other people in your books, you are the Data Fiduciary and we process it on your behalf. See Privacy Policy, section 3. You confirm that you have a lawful reason to keep that data.
- You can export your data at any time from Settings → Backup and Excel.
- How we collect, use and protect personal data is set out in the Privacy Policy.
8. Your books and taxes are your responsibility
TALLISFY works out totals, GST, ledgers, reports and return figures from what you enter, using the rules built into the software. It is a tool and does not replace a chartered accountant, tax practitioner or legal adviser.
- You are responsible for:
- the correctness of every entry;
- the HSN or SAC code and GST rate of each item;
- the place of supply;
- your returns and payments of tax.
- Check the figures before you file. This includes GSTR-1 and GSTR-3B figures, e-invoice and e-way bill files, and the GSTR-2A and 2B matching. The GST portal and the law are final. We do not file returns for you unless a feature clearly says so.
- You must keep your accounts for the time the law requires. Under GST law that is at least 72 months. Keep your own backups too.
- Data you bring in from files (Excel, backups, other accounting software) is checked for errors. You must still check that what came in matches your records.
9. What you must not do
You must not use the Services to:
- make fake or bogus invoices, hide sales, pass on input tax credit without real supply, or break GST, income-tax or any other law;
- store or send anything unlawful, defamatory, obscene, or infringing someone else’s rights, or any virus or harmful code;
- get into another person’s account or business, test our security without written permission, or get around plan limits or access rules;
- copy, change, sell, rent or resell the Services, or reverse-engineer the software, except where the law allows;
- overload our servers, or use bots or scrapers on them;
- pretend to be TALLISFY or anyone else, or collect other users’ data.
We may report illegal activity to the authorities when the law requires it.
10. Our rights in TALLISFY
The TALLISFY software, design, logo, name and content belong to us or our licensors and are protected by Indian law.
We give you a personal, non-exclusive, non-transferable right to use the Services for your own business while you follow these terms. Nothing in these terms transfers ownership of the software to you.
If you send us ideas or feedback, we may use them without any duty to you.
11. Other services
Some features open or depend on other services that we do not run. Examples:
- WhatsApp or email, for sharing;
- your browser’s speech service, for voice entry;
- the GST portal;
- banks and UPI apps.
Their own terms apply to them, and we are not responsible for how they work or for their availability.
12. Availability and support
- We work to keep the Services available and your data safe, but we cannot promise they will always run without a break. Maintenance, internet problems or events beyond our control may interrupt them.
- Because TALLISFY works offline, you can usually keep billing on your device while our server is unavailable.
- Support is given through the channels on the Contact page.
13. Disclaimer
Apart from what these terms clearly promise, the Services are provided “as is” and “as available”, to the extent the law allows. We do not promise that the Services will meet every need of your business or be free of every error.
Nothing in these terms takes away rights you have under the Consumer Protection Act, 2019, or any other law that cannot be excluded.
14. Limit of our liability
To the extent the law allows:
- We are not liable for indirect or consequential loss, such as:
- lost profit or business;
- interest or penalty caused by your own wrong entry or late filing;
- loss of entries that were never synced from your device.
- Our total liability to you for any claim about the Services is limited to the amount you paid us in the 12 months before the claim.
These limits do not apply to loss caused by our fraud or gross negligence, or where the law does not allow liability to be limited.
15. Indemnity
You will make good any loss, claim or penalty we suffer because of your breach of these terms, your unlawful use of the Services, or personal data you put into your books without a lawful reason. This includes reasonable legal costs.
16. Suspension and ending
- You can end this agreement at any time by deleting your account (see the Privacy Policy).
- We may suspend or close an account that seriously or repeatedly breaks these terms or the law, or that puts other users or our systems at risk.
- We will tell you why and give you a chance to respond, unless there is an urgent risk or the law prevents us from telling you.
- Except where the law or an authority’s order prevents it, we will let you download your data before closing the account.
- If we stop offering the Services altogether, we will give you at least 90 days’ notice and a pro-rata refund for any unused paid period.
- These sections continue after the agreement ends: 7 (your data), 8, 10, 13, 14, 15 and 18.
17. Changes to these terms
We may update these terms. For an important change, we will tell you in the app or by email at least 30 days before it applies, unless a change in the law needs it sooner. If you do not agree, you may stop using the Services and get a pro-rata refund of any unused paid period.
If you keep using the Services after that date, the new terms apply.
18. Law, disputes and complaints
- These terms are governed by the laws of India.
- Please contact us first. Most problems are solved quickly through the Grievance Officer.
- Subject to your rights below, the courts at [City, State] have exclusive jurisdiction.
- If you are a consumer, you may also approach a Consumer Commission under the Consumer Protection Act, 2019. You can file online at e-jagriti.gov.in, or get help from the National Consumer Helpline (1915). Personal data complaints may go to the Data Protection Board of India.
19. General
- Whole agreement. These terms and the policies linked above are the whole agreement about the Services.
- Severability. If a part is found invalid, the rest still applies.
- No waiver. Not enforcing a right is not giving it up.
- Transfer. You may not transfer this agreement without our written consent. We may transfer it to a business that takes over the Services, and we will tell you if we do.
- Events beyond control. Neither side is liable for delay caused by events beyond reasonable control, such as natural disasters, war, government action, or a failure of the power, internet or hosting network.
- Notices. We send notices to your registered email or in the app. Send yours to the contacts on the Contact page.
- Language. We may offer translations. If there is a difference, the English version applies.
